Jeremy S. Woodburn

Biography

I am a member in good standing of the California State Bar.  I hold a Juris Doctor degree, with honors, from Harvard Law School, and a Bachelor of Arts degree, with highest honors, Phi Beta Kappa, from Brandeis University.

I opened my private practice in mid-2003.  Since that time, I have represented a variety of technology companies, helping them to conduct their day to day business and negotiate their key relationships.  Those companies range from the very small to the very large, and have included software-as-a-service companies, advertising networks, software and hardware consulting services companies, online content and community providers, independent game developers, cloud infrastructure providers, and enterprise software vendors.

Before opening my private practice, I was Vice President of Business Development at BroadLogic Network Technologies.  In that position, I was a member of the management team responsible for turning the company around from a position with far more debt than assets and two pending lawsuits to zero debt, settlement of both lawsuits on favorable terms, and an employee-friendly recapitalization and new financing led by Cisco Systems.  That turnaround included face to face negotiations with the Cisco investment team, as well as negotiations with multiple parties of the terms of sale and multiple licenses of the legacy intellectual property and assets after all relevant personnel departed, bringing in over $2M of operating capital and debt forgiveness. I handled those negotiations and directly managed the actual transfer of legacy assets to purchasers and licensees.

In my business development capacity, I developed market strategy and presentations to introduce BroadLogic's technology to direct customers and market makers. I presented the technology and the company to partners, customers, and investors, including regular presentations to the Board of Directors regarding information on market conditions, status of and progress in business relationships. Last, I was responsible for budgeting and supervision of transactional and intellectual property outside counsel, and shared responsibility with our CTO for determining IP strategy, including the patent incentive program for the engineering team. I also developed the company's forms, including NDAs, consulting agreements, and purchase and sale documents, with a focus on consistency, brevity, and ease of use.

Prior to joining BroadLogic, I was an associate in the intellectual property and transactional practice of Fenwick & West LLP, a leading Silicon Valley law firm, where I acquired extensive experience in semiconductor core licenses, custom development agreements, foundry agreements, and corporate acquisitions.  I counseled clients on the development and protection of intellectual property, market strategies, technology partnerships, and establishing standards-setting consortia, working on hundreds of complex transactions with many reaching multi-million dollar valuations for both public and private clients.
